Welcome to NeuralStack.io ("App"), developed and operated by Banzai Labs Inc. ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the NeuralStack.io mobile application and any related services. NeuralStack.io is a brainwave entrainment application for creating custom audio content and generating specialized audio tones. The App includes a comprehensive library of background ambient music, nature sounds, noise, breathing animations, and alarm sounds. By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

Capacity: By using the App, you represent that you have the legal capacity to enter into these Terms and that all information you provide is accurate and complete. Updates: We may modify these Terms from time to time. When we make changes, we will notify you through the App or other reasonable means. Your continued use of the App after such notification constitutes your acceptance of the modified Terms.

NeuralStack.io provides the following features and content: Brainwave Entrainment Technology: The App generates specialized audio tones. Audio Content Library: A curated collection of ambient background music, nature sounds, noise, breathing animations, and alarm sounds. Customization Features: Tools to create personalized audio sessions and adjust various parameters. Custom Stack and Program Management: Ability to create, save, and manage custom stacks and programs. Service Availability: We strive to maintain continuous service availability but do not guarantee uninterrupted access. The App may be temporarily unavailable due to maintenance, updates, or technical issues beyond our control.

Personal Use License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal, non-commercial purposes. Intended Use: The App is designed for wellness, relaxation, focus, and other personal development purposes. Use the App in a safe environment where you can relax without risk of injury. Device Requirements: You are responsible for ensuring your device meets the technical requirements for proper App operation.

You are prohibited from engaging in the following activities: Intellectual Property Violations: Extracting, copying, recording, or reproducing any audio content, tones, music, or sounds from the App Redistributing, selling, licensing, or sharing any App content with third parties Using App content in other works, applications, or creative projects Sampling or incorporating App audio into music productions or other audio works Reverse Engineering and Technical Violations: Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the App Modifying, creating derivative works, or altering the App in any way Circumventing any security measures or technical limitations in the App Using automated means (bots, scrapers, etc.) to access or interact with the App Commercial and Distribution Violations: Using the App for any commercial purposes without our written consent Distributing or making the App available through unauthorized channels Sublicensing, renting, or leasing access to the App Safety and Legal Violations: Using the App while driving, operating machinery, or in any situation requiring alertness Using the App in any manner that violates applicable laws or regulations Interfering with the App's operation or attempting to gain unauthorized access to our systems

Ownership: All content within the App, including but not limited to brainwave entrainment tones, ambient music, nature sounds, noise generators, breathing animations, alarm sounds, software code, user interface designs, graphics, and text, is the exclusive property of Banzai Labs Inc. and is protected by copyright, trademark, and other intellectual property laws. Copyright Notice: All audio content, including generated tones and included music, is copyrighted material owned by Banzai Labs Inc. Unauthorized use, reproduction, or distribution is strictly prohibited and may result in legal action. Trademarks: "NeuralStack.io," the NeuralStack.io logo, and other Company trademarks and service marks are proprietary to Banzai Labs Inc. You may not use these marks without our express written permission. Limited License: The license granted to you under these Terms does not transfer any ownership rights in the App or its content. All rights not expressly granted are reserved by Banzai Labs Inc. User-Generated Content: Any custom programs, settings, or configurations you create within the App remain subject to these Terms. While you may use such content for personal purposes, you may not extract or redistribute any underlying App content.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Results Disclaimer: Individual results from using brainwave entrainment technology may vary based on personal factors, lifestyle, individual physiology, usage patterns, and environmental conditions. We make no guarantees regarding the effectiveness of the App for any particular purpose or individual. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANZAI LABS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. Maximum Liability: Our total liability to you for all claims arising from your use of the App shall not exceed the amount you paid us for the App in the twelve months preceding the claim.

Governing Law: These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App (each, a "Dispute") will be resolved by binding individual arbitration rather than in court, except for disputes that qualify for small claims court. Arbitration Procedures: Arbitration will be conducted by a single arbitrator through the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision will be final and binding. Class Action Waiver: YOU AND BANZAI LABS INC. AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE PLAINTIFF, OR SIMILAR PROCEEDING. Arbitration Costs: Each party will bear their own costs of arbitration unless the arbitrator determines otherwise. If you cannot afford arbitration costs, we may cover them upon request. Exceptions: Either party may seek injunctive relief in court to protect intellectual property rights or to enforce the prohibition on class actions. Time Limitation: Any claim must be brought within one year after the cause of action arises, or it will be permanently barred.

Termination by You: You may stop using the App at any time by unsubscribing in your App Store or Google Play account settings. Follow the cancellation procedures provided by your app store. Termination by Us: We may terminate or suspend your access to the App immediately if you violate these Terms or for any other reason at our sole discretion. Effect of Termination: Upon termination, your right to use the App will cease at the end of your last billing cycle. All provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitation of liability, and dispute resolution provisions. Data Retention: We may retain certain information after termination as required by law or for legitimate business purposes.

Entire Agreement: These Terms constitute the entire agreement between you and Banzai Labs Inc. regarding your use of the App and supersede all prior agreements and understandings. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. No Waiver: Our failure to enforce any provision of these Terms will not be considered a waiver of our right to enforce such provision in the future. Assignment: We may assign these Terms or any of our rights or obligations hereunder without your consent. You may not assign these Terms without our written consent. Force Majeure: We will not be liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control. Export Controls: The App may be subject to export control laws. You agree to comply with all applicable export control regulations.
